These Terms of Service (“Terms” or “Agreement”) set out the terms of use for the platform operated by EqualLink, LLC (“EqualLink”, “Company”, “we”, “us”, “our”). They govern anyone who accesses or uses the platform, including people who create and host events (“Hosts”) and people who are invited to and participate in events (“Guests”). When we refer to “you”, we mean both Hosts and Guests unless we say otherwise.
Because this document represents our agreement with you about your use of our platform, please take the time to read it before agreeing to the terms. If you do not agree to any of these Terms, you should not use the EqualLink platform. These Terms incorporate our Privacy Policy and any other documents referred to by these agreements, and they, as a whole, govern all access to the EqualLink platform.
EqualLink’s platform can be found athttps://equallink.rsvp/, and also includes, without limitation, all of its subdomains (such as app.equallink.rsvp and auth.equallink.rsvp), mobile applications, and any other media, locations, applications, or platforms that EqualLink owns, operates, or makes available (collectively, the “Platform”).
Thanks for choosing EqualLink! EqualLink helps groups plan in-person meetups: it suggests a central, fair meeting location based on participants’ locations, lets the group vote on dates and venues, and handles logistics such as invitations, reminders, calendar synchronization, and planning assistance (the “Services”). By using any of our tools and Services, including all associated features, functionalities, websites, applications, and user interfaces, you are entering into a binding contract with EqualLink.
By using our Platform in any manner, you are expressly agreeing to, and give your consent to be governed by, these Terms. If you do not agree with these Terms or you do not wish to be bound by them, you must not use or access EqualLink’s Platform in any manner.
You must be at least 18 years old to use the Platform. We recognize the special obligation to protect personally identifiable information obtained from children age 13 and under. IF YOU ARE YOUNGER THAN 18 YEARS OLD, THE COMPANY REQUESTS THAT YOU NOT USE THE PLATFORM OR SUBMIT ANY PERSONALLY IDENTIFIABLE INFORMATION TO THE SITE OR TO EqualLink.
By using our Platform, you are representing and warranting that you are 18 years old or older. If you are under the age of 18, you may not use our Platform in any manner nor may you register for an account.
To create or participate in events, you must complete the account registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. You must use an email address owned only by you. You agree to keep your credentials confidential and to register only once using one email address. You agree you will not (i) register on behalf of another person; (ii) register under the name of another person or under a fictional name or alias; (iii) choose credentials that constitute or suggest an impersonation of any other person (real or fictitious) or entity, or that suggest you are a representative of an entity when you are not, or that are offensive; (iv) choose credentials for the purposes of deceiving or misleading our users and/or the Company as to your true identity; or (v) choose credentials that incorporate a solicitation.
You are wholly and completely responsible for maintaining the confidentiality of your credentials and account, and for any and all activities that occur under your account. You should notify us immediately of any known or suspected unauthorized use of your account or any other breach of security. We will not be liable for any loss that you may incur as a result of someone else using your account, either with or without your knowledge, and you could be held liable for losses incurred by us or another party due to someone else using your account. You may not use anyone else’s account at any time without the permission of the account holder.
If we have reasonable grounds to suspect that you have provided false information or shared your account with anyone else, we have the right to suspend or terminate your account and refuse any and all current or future Services to you, in whole or part, without refund. Any personally identifiable information you provide as part of the registration process is governed by our Privacy Policy.
We may notify you of relevant information regarding the Platform and Services in any of the following ways: (a) by emailing you at the contact information you provide in your account registration, (b) by posting a notice in dashboard areas of the Platform, and (c) by posting the notice elsewhere on the Platform in an area suitable to the notice. It is your responsibility to periodically review the Platform for such notices.
EqualLink offers a free plan and paid subscription plans with different event and guest limits, as described on our pricing page. Paid plans are billed in advance on a recurring monthly or annual basis through our third-party payment processor (Stripe). We do not store your full payment card details.
Paid subscriptions renew automatically at the end of each billing period unless you cancel beforehand. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused events, or downgrades.
We may change our prices or plan features from time to time. If we change the price of a plan you subscribe to, we will give you reasonable advance notice before the change applies to your next billing period. If you do not agree to a price change, you may cancel your subscription before it takes effect.
When you use the Services you may provide information such as event details, addresses or approximate locations, venue preferences, contact details for invitees, votes, and messages (“User Content”). You retain ownership of your User Content. You grant EqualLink a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display your User Content solely as needed to provide and improve the Services (for example, to calculate a central meeting location, send invitations and reminders, and sync events to connected calendars).
If you invite Guests or provide contact information for other people, you represent that you have the right to share that information with us and to have us contact those people on your behalf for the purpose of coordinating your event. You are responsible for your User Content and must ensure it is accurate, lawful, and does not violate anyone else’s rights.
You agree that you will not use the Platform to:
We may investigate violations and may suspend or terminate accounts that violate these Terms.
The Services rely on and may connect to third-party services, including mapping and directions providers, weather data providers, payment processing (Stripe), email delivery, and calendar services such as Google Calendar and Microsoft calendar services. Your use of a third-party service through EqualLink is subject to that service’s own terms and privacy policy, and you authorize us to exchange the data needed to provide the integration (for example, creating events on a calendar you connect). Venue and location suggestions reference third-party businesses; EqualLink does not endorse, operate, or guarantee any venue and has no responsibility for your experience at any suggested location.
EqualLink provides planning tools and informational suggestions only. Central location calculations, venue suggestions, travel directions, weather reports, and any output of our AI planning assistant are provided for convenience and may be inaccurate, incomplete, or out of date; you should independently verify anything you rely on. EqualLink does not organize, host, supervise, or attend your events. You are solely responsible for deciding whether, where, and with whom to meet, and for your own safety and conduct at any in-person meeting. EqualLink is not liable for any disputes, claims, losses, injuries, or damage of any kind arising out of interactions between Hosts and Guests or out of any in-person meeting planned using the Services.
The Platform and Services, including all software, design, text, graphics, logos, and other content provided by EqualLink (excluding your User Content), are owned by EqualLink or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Platform, or reverse engineer or attempt to extract its source code, except to the extent the law permits despite this limitation.
Your use of the Platform is subject to our Privacy Policy, available at https://equallink.rsvp/privacy/.
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SUGGESTION, CALCULATION, OR AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUALLINK AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID US NOTHING).
You agree to indemnify, defend, and hold harmless EqualLink and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Platform, your violation of these Terms, or your violation of any rights of another person, including claims arising out of any in-person meeting you host or attend.
You may stop using the Platform and delete your account at any time. We may suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Services. Upon termination, your right to use the Platform ends immediately; sections of these Terms that by their nature should survive termination (including Sections 8, 9, and 11 through 16) will survive.
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page with a new effective date and, where appropriate, notify you by email or through the Platform. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of them.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, and any disputes arising out of these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming.
